Pradyun Chakravarty represents the modern capital markets lawyer who combines transactional precision, commercial understanding, responsiveness, and disciplined execution. As a Partner at King Stubb & Kasiva, Advocates & Attorneys, he works across capital markets, advising on equity offerings including IPOs and QIPs, while supporting transactions from early-stage diligence through listing. His work requires close coordination with issuers, promoters, merchant bankers, auditors, regulators, and other advisers, where timing, accuracy, and execution are critical.

In this episode of The Koffee Conversation Show – The Emerging Lawyer Series, themed “Beyond the IPO: Building a Capital Markets Practice,” Pradyun shares powerful insights on IPOs, capital markets, due diligence, client trust, commercial understanding, practice building, GIFT City, infrastructure and clean energy, AI, LegalTech, leadership, and developing the next generation of lawyers. His perspective highlights a critical truth—successful legal practices are built quietly through consistent execution, dependable relationships, commercial awareness, and the ability to deliver quality work under pressure.

Pradyun’s career journey did not begin with a predetermined plan to become a capital markets lawyer. He started with M&A, general corporate and projects work, building a strong foundation in due diligence, transaction documentation, Companies Act matters, and high-value corporate transactions. Capital markets came later, when existing relationships with merchant bankers created opportunities to execute transactions, demonstrate quality and responsiveness, and develop repeat mandates. Over time, this execution-led approach became the foundation of his capital markets practice.

A defining chapter of his journey was building a capital markets practice from the ground up at Legacy Law Offices. Starting with a small team and mid-scale SME IPOs, the practice gradually expanded into larger main-board and secondary-market transactions as execution capabilities and client relationships grew. His move to King Stubb & Kasiva was a conscious decision to take that practice to a larger institutional platform, where specialist teams across tax, employment, regulatory, disputes, and intellectual property could support clients beyond the IPO and create longer-term relationships.

Key Highlights of the Koffee Conversation with Pradyun Chakravarty

  • Capital markets was not Pradyun’s original career plan; his foundation was built through M&A, general corporate and projects work.
  • Detailed due diligence, transaction documentation, Companies Act work, and understanding businesses became important building blocks of his career.
  • Strong relationships with merchant bankers helped create initial capital markets opportunities.
  • Consistent execution, responsiveness, and quality work transformed initial mandates into repeat business.
  • The real substance of an IPO happens behind the scenes, long before the listing-day celebrations.
  • Due diligence can uncover legacy agreements, negative covenants, old litigation, and incomplete corporate documentation.
  • The role of capital markets counsel is not merely to identify issues but to understand their significance and find practical solutions within tight timelines.
  • Building a practice quietly means allowing strong execution to speak louder than visibility alone.
  • Sustainable practice development comes from earning client and banker trust and creating repeat relationships.
  • In highly time-sensitive transactions, lawyers must prioritize what truly matters while ensuring that pressure never compromises quality.
  • Commercial understanding enables lawyers to move from being legal service providers to becoming trusted business advisers.
  • Capital markets lawyers must balance regulation, commercial timing, and market confidence without compromising disclosure or diligence standards.
  • India’s infrastructure and clean-energy ambitions create opportunities for innovative legal and commercial structures, particularly where private capital can participate in large-scale projects.
  • GIFT City can provide Indian investors and fund managers with another platform for structuring cross-border and international investments from India.
  • An executive MBA and business education can strengthen a lawyer’s ability to understand finance, investment decisions, valuation, and the commercial rationale behind client objectives.
  • Building a capital markets practice requires ownership of execution, team development, relationship management, and the ability to scale capabilities alongside mandates.
  • A larger institutional platform can create greater value by bringing specialist expertise into complex IPO and corporate transactions.
  • AI can significantly reduce repetitive diligence and document-review work, allowing lawyers to spend more time on analysis, judgment, and higher-value legal work.
  • AI should be viewed as an opportunity to improve efficiency rather than simply as a threat to the legal profession.
  • Young capital markets lawyers should understand the entire transaction rather than limiting themselves to the portion of work allocated to them.
  • Reading an offer document comprehensively—including the business, risk factors, litigation, approvals, corporate history, and financial information—builds stronger commercial and legal understanding.
  • Studying peer companies and sector dynamics helps young lawyers understand how businesses operate and strengthens their ability to conduct meaningful diligence.
  • Dependability is a powerful professional differentiator—meeting commitments or communicating early when deadlines cannot be met builds long-term reputation.
  • Pradyun’s disciplined upbringing in an Army and civil-services family exposed him to different cities, cultures, people, and experiences, strengthening his adaptability and curiosity.
  • His philosophy of “forward momentum above all else” reflects a career built around continuous progress, learning, execution, and reinvention.
